The United Nations Convention on Contracts for the International Sale of Goods does not apply to the Terms. Any claim, dispute, or action arising, directly or indirectly, to the Terms shall be litigated in the state or federal courts located in Suffolk County, Massachusetts and the parties hereto agree to submit to the personal jurisdiction of such courts.
